Terms of Service

These Terms of Service govern your access to and use of the Rethink Commercial Education online course (Course) provided by Rethink Training Pty Ltd (ABN 97 660 210 999) (we, us, our). By enrolling in the Course, you agree to be bound by these Terms of Service.

If you do not agree to these Terms of Service, you must not enrol in or access the Course.

1. About the Course

1.1 What the Course includes

The Rethink Commercial Education course is an online educational program designed to teach students how to evaluate and invest in commercial property in Australia. The Course currently includes:

  • On-demand video lessons
  • Downloadable resources, templates and reference materials
  • Access to a private online community (Community) hosted on a third-party platform (currently Facebook)

1.2 Changes to course content and delivery

We reserve the right to update, modify, add to, or remove Course content and materials at any time. We may also change the platform or technology used to deliver the Course. Where we make material changes, we will provide reasonable notice to enrolled students.

1.3 Community access

Access to the Community is subject to the terms and community guidelines of the relevant third-party platform. We are not responsible for the conduct of other members of the Community. We reserve the right to remove or suspend your access to the Community if you engage in conduct that we consider, in our sole discretion, to be inappropriate, disruptive or harmful.

1.4 No investment advice

The Course is educational in nature only. Nothing in the Course constitutes financial, investment, legal or taxation advice. You should obtain independent professional advice before making any investment decision. We make no representation or warranty that participation in the Course will result in any particular financial outcome or return.

1.5 No guarantee of results

We make no guarantee as to the results you will achieve from participating in the Course. Outcomes will depend on a range of factors outside our control, including your individual circumstances, experience, effort and the prevailing market conditions.

2. Enrolment

2.1 Eligibility

To enrol in the Course you must be at least 18 years of age and have the legal capacity to enter into a binding contract. The Course content is primarily focused on the Australian commercial property market. We do not restrict enrolment by geography, but we make no representation that the content is relevant to markets outside Australia. 

2.2 Your account

To access the Course, you will be provided with a login account on the platform through which the Course is delivered (Platform). You are responsible for keeping your login credentials confidential. You must not share your account access with any other person. Each enrolment is for a single individual only.

2.3 Accurate information

You agree to provide accurate, current and complete information when enrolling. If any of your details change, you should update them promptly.

3. Fees and Payment

3.1 Course fee

The fee for the Course (Fee) is a one-time payment specified at the time of enrolment. All Fees are stated in Australian dollars (AUD) and are inclusive of any applicable Goods and Services Tax (GST).

3.2 Payment

Full payment of the Fee is required at the time of enrolment. Access to the Course will not be provided until payment has been received and confirmed.

3.3 Changes to fees

We may change the Course Fee for new enrolments at any time. Any change in Fee will not affect existing enrolments.

4. Course Access

4.1 Access to course materials

Upon enrolment and payment, you will be granted non-exclusive, non-transferable access to the Course materials for your personal use only, for so long as we make the Course available through a platform or in another format.

4.2 Platform changes

The Course is currently delivered via an online platform. We may change the platform or method of delivery at any time. In the event that we decide to discontinue or significantly change the way the Course is delivered, we will take reasonable steps to ensure your continued access to the Course materials, which may include providing access through an alternative platform or in another suitable format.

4.3 Suspension or termination of access

We reserve the right to suspend or terminate your access to the Course if you breach these Terms of Service. Termination of access does not entitle you to a refund of any Fees paid.

5. Cancellations and Refunds

You may cancel your enrolment at any time. We do not offer refunds on the Course Fee, except where required by applicable law, including the Australian Consumer Law.

Nothing in these Terms of Service is intended to exclude, restrict or modify any rights you may have under the Australian Consumer Law or other applicable legislation that cannot be excluded, restricted or modified by agreement.

6. Your Obligations

By enrolling in the Course, you agree to:

  • Use the Course materials for your own personal, non-commercial educational purposes only
  • Not share your login credentials or permit any other person to access the Course using your account
  • Not copy, reproduce, distribute, upload, sell, sublicense or otherwise make available any Course materials to any third party
  • Not record or screen-capture any Course content without our prior written consent
  • Conduct yourself respectfully when participating in the Community or any associated group or forum
  • Comply with all applicable laws in connection with your use of the Course

If you do not comply with these obligations, we may suspend or terminate your access to the Course and/or the Community without refund.

7. Intellectual Property

All intellectual property rights in the Course materials, including video content, written materials, templates and other resources, are owned by us or licensed to us. Nothing in these Terms of Service transfers any intellectual property rights to you.

You are granted a limited, personal, non-exclusive, non-transferable licence to access and use the Course materials for your own personal educational purposes only, for the duration of your access as described in clause 4.

8. Limitation of Liability

To the maximum extent permitted by law:

  • We exclude all liability for any loss or damage (including indirect, consequential or economic loss) arising from your participation in the Course or your reliance on any Course materials
  • Our aggregate liability to you in connection with these Terms of Service is limited to the amount of the Fee you paid

These limitations do not apply to any liability that cannot be excluded under the Australian Consumer Law or other applicable legislation.

9. Privacy

We collect and handle your personal information in accordance with the Privacy Act 1988 (Cth) and the Australian Privacy Principles. Please refer to our Privacy Policy for details of how we collect, use and disclose your personal information. 

By enrolling in the Course, you consent to us contacting you by email or other means in connection with your enrolment and, from time to time, about other products or services we offer. You may opt out of marketing communications at any time.

10. Testimonials

By enrolling in the Course, you consent to us using your name, image, voice and a description of your experience with the Course (Testimonial) in our marketing and promotional materials, including on our website, social media and other channels.

If you no longer wish for a Testimonial you have provided to be used, you may withdraw your consent at any time by contacting us using the details in clause 11.5, and we will take reasonable steps to remove it from materials we control going forward.

11. General

11.1 Changes to these Terms

We may update these Terms of Service from time to time. If we make material changes, we will notify you. Continued use of the Course following notice of any changes constitutes your acceptance of the updated Terms.

11.2 Severability

If any provision of these Terms of Service is held to be invalid or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.

11.3 Governing law

These Terms of Service are governed by the laws of New South Wales, Australia. You agree to submit to the non-exclusive jurisdiction of the courts of New South Wales in respect of any dispute arising under these Terms of Service.

11.4 Entire agreement

These Terms of Service, together with any information provided to you at the time of enrolment, constitute the entire agreement between you and us in respect of your enrolment in the Course.

12. Definitions

In these Terms of Service:

Australian Consumer Law means Schedule 2 to the Competition and Consumer Act 2010 (Cth).

Community means the private online group or forum provided as part of the Course, currently hosted on Facebook.

Course means the Rethink Commercial Education online course described in clause 1.

Fee means the one-time fee payable by you to enrol in the Course, as specified at the time of enrolment.

Platform means the online platform through which the Course is delivered from time to time.
